These Terms and Conditions (the "Terms") govern all sales of software licences made through magicbly.com, operated by MagicBly LLC. They set out the rights and obligations of both parties in connection with the sale of digital products. Please read them carefully before placing an order.
1. Seller identity
The website magicbly.com is operated by MagicBly LLC, with its registered address at 30 N Gould St, Ste R, Sheridan, WY 82801, USA.
You can reach us by email at support@magicbly.com, or by phone and WhatsApp at +1 251 373 4255, Monday to Friday from 9:00 to 18:00 (US Mountain Time). Our company registration number is available on request. The website is hosted by Vercel Inc., 340 S Lemon Ave #4133, Walnut, CA 91789, USA.
2. Acceptance and scope
Placing an order on the website constitutes full and unconditional acceptance of these Terms, to the exclusion of any other document. The customer confirms that they have read and accepted them before confirming their order.
These Terms apply to all sales concluded through magicbly.com. MagicBly LLC reserves the right to amend them at any time; the Terms applicable to an order are those in force on the date the order is placed.
3. Products and digital delivery
MagicBly LLC sells only 100% genuine software licences (including Microsoft, Adobe and other publishers). All products are digital goods delivered electronically. No physical shipment takes place.
Once payment is confirmed, the licence key and, where applicable, the activation instructions and download link are sent instantly to the email address provided at checkout. We recommend checking your spam folder and contacting us promptly if you do not receive your order.
4. Prices, currency and taxes
The price of each product is clearly stated on its product page and shown before the order is completed, in the currency indicated on the website. There are no hidden fees: the total amount payable, including any applicable taxes (VAT where relevant), is summarised before you confirm payment.
MagicBly LLC reserves the right to change its prices at any time; products are charged at the price in force at the moment the order is confirmed.
5. Ordering process and formation of the contract
The ordering process consists of selecting products, adding them to the cart, entering your billing and contact details, and then confirming payment. Before paying, the customer can review the order details and correct any errors.
The sales contract is definitively formed once MagicBly LLC confirms the order by email after payment has been accepted. This confirmation constitutes acceptance of the order.
6. Payment and security
Payment is made online using the methods offered at checkout (including bank card and other solutions displayed at payment). An order is processed only after the payment has been effectively authorised.
Transactions are secured by our payment providers. MagicBly LLC does not store your full card details; these are processed by providers that comply with industry security standards.
7. Licence grant and acceptable use
Purchasing a product grants the customer the right to use the software licence within the limits set by the relevant software publisher. Each key is intended to be used in accordance with the publisher's licence terms.
The customer agrees not to resell, duplicate, share or use the licence in any way that breaches the publisher's terms or applicable law. Any misuse may result in the licence being deactivated by the publisher, without liability on the part of MagicBly LLC.
8. Right of withdrawal
In accordance with EU consumer protection law, the right of withdrawal does not apply to the supply of digital content not provided on a tangible medium where performance has begun with the consumer's prior express consent and their acknowledgement that they thereby lose the right of withdrawal.
By completing an order, you expressly request the immediate delivery of your licence and acknowledge that, once the key has been issued and the digital content fully supplied, you lose your right of withdrawal. For defective or non-activating keys, please refer to our Returns and Refunds policy.
9. Warranty and defective keys
MagicBly LLC warrants that the licences sold are genuine and functional. If a key proves to be defective or fails to activate, the customer must contact us as soon as possible at support@magicbly.com, describing the problem and any error message encountered.
After verification, we will replace the key or, where replacement is not possible, issue a refund, in accordance with our Returns and Refunds policy. Your statutory rights as a consumer remain fully applicable.
10. Liability and intellectual property
To the extent permitted by law, MagicBly LLC's liability is limited to the amount of the order concerned. We cannot be held liable for indirect damages, nor for any incompatibility of the software with the customer's hardware configuration or specific needs, which it is the customer's responsibility to verify before purchase. Nothing in these Terms limits any liability that cannot be excluded by law.
All elements of the website (trademarks, logos, text, images) are protected by intellectual property law. The trademarks of software publishers remain the property of their respective owners and are used solely to identify the products.
11. Force majeure, governing law and disputes
MagicBly LLC cannot be held liable for any failure to perform its obligations resulting from force majeure or events beyond its reasonable control. These Terms are subject to the applicable law, without prejudice to the mandatory consumer protection provisions of the consumer's country of residence within the European Union.
In the event of a dispute, we invite you to contact us first so that we can seek an amicable solution. Consumers resident in the European Union may also use the European Commission's Online Dispute Resolution (ODR) platform, available at ec.europa.eu/consumers/odr.
